Acquisition of "EcoPower Co., Ltd." Shares

Cosmo Oil Co., Ltd. (hereinafter "Cosmo", headquarter: Minato-ku Tokyo, Japan; President & Representative Director: Yaichi Kimura; Paid-in Capital: JPY 107.2 billion) have entered into contract today with Ebara Corporation (hereinafter "Ebara") on the transfer of shares for EcoPower Co., Ltd. (hereinafter "EcoPower") to enter to large scale commercial wind power business.

1.Purpose of Acquisition

In accordance with the 3rd Mid-Term Management Plan, Cosmo is actively pursuing business opportunities and technical developments which are environmentally friendly aiming that such will become an important source of income for the company in the future.

Cosmo have operated a wind mill in Sakata City, Yamagata Prefecture (Cosmo Oil Sakata Wind Power Plant; 1,500 kW) since December 2004 and have reached a conclusion that the most efficient method for expansion of such business is through the acquisition of an existing wind farm operator, which is EcoPower and for it to become part of the Cosmo Group.

EcoPower is the pioneer in the Japanese wind power market that has significant technical expertise through its long experience in this field and also possesses numerous wind farms in wind rich areas such as Tohoku and Hokkaido.

Cosmo will propel the involvement in wind power and other renewable energy through this acquisition opportunity.
